Please read these Terms of Service carefully before using the Cloud Centrify website or engaging our services. These Terms form the legal agreement between you and Cloud Centrify Ltd and apply to all visitors, users, and clients.

1. Use of Our Website

Users may access the site for lawful purposes only. Prohibited activities include: - Attempting unauthorised access to any system or network - Introducing malware, viruses, or other harmful code - Interfering with the functionality of the website - Copying or reproducing content without permission

We reserve the right to restrict or terminate access for any violations of these Terms.

2. Our Services

Cloud Centrify offers cloud transformation, Microsoft 365, Azure infrastructure, security, migration and managed IT services across the UK, US and Europe.

Client engagements are governed by separate Statement of Work (SOW), Master Services Agreement (MSA) or Service Order documents. In the event of any conflict between these Terms and a signed agreement, the signed agreement shall take precedence.

3. Account Registration

Account holders must: - Keep login credentials secure and confidential - Ensure only authorised individuals access accounts - Report any unauthorised access immediately

We may suspend accounts where there is evidence of a security risk or misuse.

4. Client Responsibilities

Clients must: - Provide accurate and up-to-date information - Maintain appropriate security on their own systems - Comply with their internal policies and procedures - Follow applicable Microsoft licensing rules - Avoid activities that could disrupt services

Clients are accountable for actions taken by anyone accessing services on their behalf.

5. Acceptable Use

Prohibited uses include: - Uploading harmful, offensive, or illegal content - Breaching or circumventing security controls - Engaging in fraudulent or deceptive activities - Distributing spam or unauthorised software

We reserve the right to investigate violations and may report unlawful activity to the appropriate authorities.

6. Fees and Payment

Fees are set out in the applicable SOW or service agreement. Invoices are due within 14 days of issue. Late payments may result in service suspension. Pricing may change with reasonable notice. Taxes are excluded from quoted fees unless explicitly stated otherwise.

7. Intellectual Property

Cloud Centrify retains all rights to its website content, documentation, tools, scripts and methodologies. Clients retain rights to their own data and configurations. Intellectual property ownership transfers only through an explicit written agreement signed by both parties.

Microsoft, Azure, Microsoft 365, and related names are registered trademarks of Microsoft Corporation. Cloud Centrify is an independent Microsoft partner.

8. Confidentiality

Client information is treated as confidential except where: - The information is already publicly available - Disclosure is required by law or a regulatory authority - The client has given explicit consent to disclosure - Disclosure is necessary for service delivery (e.g. sharing with Microsoft under contract)

All staff and suppliers are bound by strict confidentiality obligations.

9. Data Protection

We comply with UK GDPR, EU GDPR, and applicable US privacy laws including CCPA and CPRA. Please refer to our Privacy Policy for full details on how we collect and use personal data. Clients must ensure they have proper legal grounds for sharing any personal data with us.

10. Service Availability

While we aim to deliver reliable and consistent services, we make no guarantee of continuous uptime, error-free performance, or constant availability. Scheduled maintenance windows and outages caused by third-party providers (including Microsoft) may affect service access.

11. Liability Limitation

To the fullest extent permitted by law, Cloud Centrify excludes liability for indirect, consequential, or special losses, and for issues arising from third-party provider failures.

Nothing in these Terms limits our liability for: - Fraud or fraudulent misrepresentation - Death or personal injury caused by our negligence - Any other liability that cannot be excluded or limited under applicable law

12. Termination

We may suspend or terminate services in the event of: - Material breach of these Terms or a service agreement - Non-payment of fees - A security risk affecting our systems or other clients

Clients may terminate in accordance with the terms of their SOW or MSA. Upon termination, access is revoked, outstanding fees become immediately due, and data is retained or deleted in line with legal requirements.

13. Changes to Terms

We may update these Terms to reflect legal, technological, or service changes. Updated versions will be posted on this page with a revised date. Continued use of our website or services constitutes acceptance of the revised Terms.

14. Governing Law

For UK and European clients, these Terms are governed by the laws of England and Wales, and disputes shall be subject to the jurisdiction of the courts of England and Wales.

For US clients, these Terms are governed by the laws of the State of Delaware, and disputes shall be resolved in the relevant courts of that jurisdiction.
